Responsibilities

The Senior Corporate Paralegal (Temporary) plays a critical role in supporting corporate legal functions, ensuring compliance with regulatory requirements, and assisting with complex business transactions. This position requires extensive experience in corporate law, strong organizational skills, and the ability to work independently while collaborating with attorneys and executives.

 

Key Responsibilities

  • Assist in the formation, maintenance, and dissolution of corporations, LLCs, and partnerships.
  • Draft, review, and manage corporate governance documents, including bylaws, resolutions, and shareholder agreements.
  • Conduct legal research and ensure compliance with federal, state, and international regulations.
  • Support mergers and acquisitions, including due diligence, document preparation, and closing coordination.
  • Maintain corporate records, minute books, and stock ledgers.
  • Prepare and file regulatory filings, including SEC and state compliance reports.
  • Collaborate with internal departments to ensure legal compliance in business operations.
  • Manage contract administration, including drafting, reviewing, and negotiating agreements.
  • Assist in litigation support, including document review and case management.

Qualifications

  • Bachelor’s degree in Legal Studies, Business, or a related field; Paralegal certification preferred.
  • Minimum of 12+ years of experience in corporate law or a legal department.
  • Strong knowledge of corporate governance, securities regulations, and compliance requirements.
  • Proficiency in legal research tools and document management software.
  • Excellent written and verbal communication skills.
  • Ability to handle multiple projects and meet deadlines in a fast-paced environment.
  • High attention to detail and strong analytical skills.

Preferred Skills

  • Experience with M&A transactions and corporate restructuring.
  • Familiarity with SEC filings and regulatory compliance.
  • Knowledge of contract negotiation and risk assessment.

At IGT, we consider a wide range of factors in determining compensation, including background, skills, experience, and work location. These factors can cause your compensation to vary. The estimated starting compensation range is $44,500 - $103,002. The actual pay offered may end up being higher or lower. The Company will comply with all local pay requirements and collective bargaining agreements, where applicable.

 

Base pay is only one part of our Total Rewards program.  Sales roles may be eligible for commission payments, while other roles are eligible for discretionary bonuses .  In addition, we offer employees a 401(k) Savings Plan with Company contributions, health, dental, and vision insurance, life, accident, and disability insurance, tuition reimbursement, paid time off, wellness programs, and identity theft insurance.
