Overview & Responsibilities

The International Tax Director will join the Tax department in Providence, RI reporting to the VP Global Tax. This individual will play an important role in establishing, implementing and maintaining an efficient worldwide tax structure. The primary responsibility of this position will be the management of the day to day activities associated with the Company's international structure. The individual will work closely with the business units, finance and treasury as well as with our external advisors and auditing firm. The candidate must have exceptional communication skills, oral and written, with the ability to manage cross- functional responsibility.

  • Co-Lead US and International tax planning support for continuously growing international operations of US-managed, UK public company.
  • Partner with Senior Director, International Tax responsible for non-US jurisdictions in monitoring of global corporate organizational structure and implementation of restructurings in furtherance of company's global tax and cash management strategies.
  • Co-Lead international M&A projects, including tax due diligence, negotiation of tax sections in acquisition agreements, and post-acquisition integration.
  • Oversee and support the preparation of US international tax compliance such as Form 5471 including Earnings & Profits calculations, Form 8858, Form 1118, etc. and reporting statements as required.
  • Conduct research and provide documentation in support of company's US tax planning initiatives and US tax return positions.
  • Monitor and assess US outbound legislative developments impacting company's tax position, including on-going US and foreign jurisdiction Tax Reform proposals and relevant planning strategies.
  • Co-lead BEPS related requirements and developments, including planning strategies.
  • Assist with employee mobility US tax issues as well as compensation matters.
  • Assist in US Federal tax audit management and defense on US-outbound issues.
  • Support foreign audits as necessary on corresponding US tax issues and local foreign issues.
  • Co-Manage US Transfer Pricing documentation, and assist in Non-US TP documentation.
  • Assist in international tax modeling and related structure maintenance including review/calculations of quarterly and annual intercompany transactions and settlements.
  • Assist in the completion of the US tax-related issues, including Subpart F and foreign tax credits, calculation of adjustments to existing and new US FIN 48 reserves and associated interest and penalties, and review of tax disclosures in SEC filings and documentation.


  • Minimum of 12 years' tax experience, in both US-outbound and US-inbound tax matters.
  • Strong transfer pricing knowledge and abilities.
  • Big-4 Accounting tax advisory and In-house experience with technology companies strongly preferred.
  • B.S. Accounting or equivalent degree required. CPA certification required.
  • J.D., LL.M., M.S. in Taxation, or other advance degree highly preferred.
  • Experience with M&A transactions, from due diligence, to contract negotiations, acquisition structure and post-acquisition integration.
  • Ability to succinctly explain complex tax issues to non-tax personnel.
  • High level familiarity with ASC 740, accounting for income taxes, including impact of strategies and transactions on company's effective tax rate.
  • Strong Excel modelling skills required.
  • Willingness to stretch beyond comfort zone to explore new areas of tax, broaden skill-sets, and tackle unanticipated challenges in dynamic and fast global growing company.
