IGT has an exciting opportunity for a senior attorney interested in joining the gaming industry. The attorney will provide advice and counsel to IGT's Treasury, Mergers and Acquisitions, Real Estate and Risk Management teams. The attorney will review, draft, and negotiate a broad array of agreements and contracts for the relevant corporate functions and advise on various business initiatives. This position offers the opportunity to work in a fast-paced environment and to develop solutions for business issues. The ability to lead in your practice, work as part of a team, and accept new challenges and learn are key for this position. The position reports to the Associate General Counsel, Corporate Development. This position is located at IGT's corporate headquarters in Providence, Rhode Island.


  • Draft, review, negotiate, and interpret a broad array of contracts, with an emphasis on credit and loan agreements, underwriting and purchase agreements, indentures, receivables sales agreements, asset and share purchase and sale agreements, merger and joint venture agreements, real estate leases, engagement letters with law firms, investment banks and other advisors and confidentiality/non-disclosure agreements 
  • Perform the job duties consistent IGT's values, standards, culture and business practices. The attorney will act with the highest level of integrity and business and personal ethical standards in all aspects of job performance.
  • Identify legal risks, develop practical mitigation strategies and counsel internal clients regarding financing, merger and acquisition, real estate and insurance and surety transactions
  • Provide legal support of Treasury responses to know-your customer (KYC) requests and bank account actions and Treasury and M&A due diligence activities
  • Coordinate formations, mergers and liquidations of subsidiaries and prepare resolutions, minutes, consents and certificates in connection with transactions
  • Perform other tasks as assigned from time to time by the Associate General Counsel
  • Collaborate with in-house lawyers and paralegals, outside counsel and business leaders

Required Education and Experience:

  • JD degree and an active license to practice law
  • Minimum of seven years of experience in a law firm and corporate legal department advising on bank financings, debt securities offerings, receivables vendor financing programs, mergers and acquisitions and real estate leases
  • Proven record of quality and timely client service, accountability, attention to detail, and organization in a fast-paced environment
  • Demonstrated willingness and ability to learn
  • Familiarity with responding to KYC requests and coordinating subsidiary maintenance preferred
  • Prior people and outside counsel management experience preferred
  • Foreign language (particularly Italian) fluency a plus.
